1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website at www.arvoe.ai (the "Website"), the Arvoe AI governance platform (the "Platform"), and any related services provided by Arvoe Pty Ltd (ABN pending) ("Arvoe", "we", "us", "our").
By accessing or using our services, you agree to be bound by these Terms. If you are using the services on behalf of a school or organisation, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
2.1 Website
Our Website provides information about Arvoe's AI governance solutions for education, including blog content, the AI Governance Self-Assessment tool, and contact/demo request functionality.
2.2 Platform
The Arvoe Platform is a subscription-based AI governance tool for educational institutions. It includes risk registers, control frameworks, policy management, compliance monitoring, maturity assessment, and conversational AI assistance (Ask Arvoe). Platform access is governed by a separate subscription agreement.
2.3 Self-Assessment
The AI Governance Self-Assessment is a free tool that provides an indicative maturity score based on your responses. Results are for informational purposes only and do not constitute professional advice, a compliance certification, or a guarantee of regulatory readiness.
3. Eligibility
Our services are designed for use by school leaders, administrators, educators, and education sector professionals. You must be at least 18 years of age to use our services. Our Website and tools are not intended for use by students or children.
4. User Accounts
If you create an account on the Platform, you are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us promptly if you become aware of any unauthorised use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that could harm our services or other users.
5. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to our systems, infrastructure, or other users' accounts
- Interfere with or disrupt the integrity or performance of our services
- Reverse engineer, decompile, or attempt to extract the source code of our Platform
- Use automated tools to scrape, crawl, or extract data from our Website or Platform beyond what is permitted
- Misrepresent your identity, affiliation, or authority when using our services
- Upload or transmit any malicious code, viruses, or harmful content
6. Intellectual Property
6.1 Our intellectual property
All content on the Website and Platform — including the AI Governance Maturity Model, risk and control frameworks, templates, assessment methodologies, software, design, text, graphics, and logos — is owned by Arvoe or its licensors and is protected by Australian and international intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent, except as expressly permitted by these Terms or a separate subscription agreement.
6.2 Your content
You retain ownership of any information, data, or content you provide through our services (e.g., self-assessment responses, Platform data). By providing this content, you grant us a limited licence to use it solely to provide and improve our services to you.
6.3 Aggregated data
We may create anonymised, aggregated data derived from usage of our services. This data does not identify any individual or school and may be used for benchmarking, research, and service improvement purposes.
7. Disclaimers
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
In particular:
- Self-assessment results and maturity scores are indicative only and should not be relied upon as professional compliance advice
- Our Platform assists with governance management but does not guarantee regulatory compliance — compliance remains the responsibility of the subscribing institution
- AI-generated content (including Ask Arvoe responses) is designed to assist human decision-making and should be reviewed by qualified personnel before being acted upon
- We do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities
Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law that cannot be excluded by law.
8. Limitation of Liability
To the maximum extent permitted by law, Arvoe's total liability arising out of or in connection with these Terms or your use of our services is limited to the amount you have paid us in the 12 months preceding the claim, or AUD $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of our services.
9. Indemnification
You agree to indemnify and hold Arvoe harmless from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of our services, or your violation of any applicable law or third-party rights.
10. Subscription Terms
Platform subscriptions are governed by a separate subscription agreement entered into between Arvoe and the subscribing institution. In the event of any conflict between these Terms and a subscription agreement, the subscription agreement prevails.
Key subscription terms (pricing, renewal, cancellation) are detailed in the subscription agreement and are not covered by these Website Terms of Service.
11. Modifications
We may modify these Terms at any time by posting the updated version on this page with a revised "last updated" date. For material changes, we will provide reasonable notice. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.
12. Termination
We may suspend or terminate your access to our services at any time if you breach these Terms or if we discontinue the services. Upon termination, your right to use our services ceases immediately.
Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue in effect.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of Queensland.
